1. Acceptance of Terms

By accessing or using Velosyti ("the Service"), operated by Velosyti Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all the Terms, you may not access or use the Service.

We may modify these Terms at any time. Continued use of the Service after modifications constitutes acceptance. Material changes will be communicated via email or in-app notification at least 30 days in advance.

2. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized access to your account
• Be at least 13 years old (or the minimum age in your jurisdiction)

You are responsible for all activity that occurs under your account, whether or not authorized by you.

3. Service Description

Velosyti is an AI-powered platform that enables users to create, preview, and deploy web applications through natural language conversation. The Service includes:

• AI-assisted code generation from natural language descriptions
• Live preview environments for reviewing generated applications
• Application deployment and hosting infrastructure
• Managed database provisioning and migration tools
• Marketplace for modules and themes
• Team collaboration and organization management features

4. Ownership & Intellectual Property

4.1 Your Content

You retain full ownership of the code, designs, content, and data you create using the Service ("Your Content"). You may export, modify, redistribute, and commercially use Your Content without restriction. Velosyti claims no ownership over Your Content.

4.2 Our Platform

The Service, including its interface, AI models, templates, infrastructure, and documentation, is owned by Velosyti Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service itself.

4.3 Marketplace Content

Modules and themes published to the Marketplace are governed by their individual licenses as specified by their creators. By installing a Marketplace item, you agree to its stated license terms.

5. Acceptable Use

You agree not to use the Service to:

• Generate malicious software, malware, phishing pages, or tools designed to harm others
• Violate any applicable law, regulation, or third-party right
• Deploy applications that contain illegal content or facilitate illegal activity
• Attempt to circumvent usage limits, rate limits, or credit systems
• Interfere with or disrupt the Service or its infrastructure
• Impersonate another person or misrepresent your affiliation with an entity
• Scrape, crawl, or use automated tools to access the Service beyond its intended APIs

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

6. Pricing & Payment

Certain features of the Service require a paid subscription. By subscribing to a paid plan:

• You authorize us to charge your payment method on a recurring basis (monthly or annual)
• Fees are non-refundable except as required by law or stated in our refund policy
• We may change pricing with 30 days advance notice
• Downgrading your plan takes effect at the end of the current billing cycle

AI generation credits expire at the end of each billing cycle and do not roll over. Additional credit packs are available for purchase.

7. Service Availability

We strive to maintain 99.9% uptime for the Service and deployed applications. However, we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control. We will provide reasonable advance notice of scheduled maintenance when possible.

8. AI-Generated Content

The Service uses artificial intelligence to generate code and application content. You acknowledge that:

• AI-generated code may contain bugs, errors, or security vulnerabilities
• You are responsible for reviewing and testing generated code before deploying to production
• Velosyti is not liable for damages resulting from the use of AI-generated code
• AI outputs may be similar to code generated for other users due to common patterns and training data

9. Limitation of Liability

To the maximum extent permitted by law, Velosyti Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising out of or in connection with your use of the Service.

Our total aggregate liability for any claim arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

You may terminate your account at any time through the account settings. We may suspend or terminate your access if you violate these Terms, with or without prior notice. Upon termination:

• Your deployed applications will be taken offline within 30 days
• You may export your project data during the 30-day grace period
• After the grace period, your data will be permanently deleted
• Any prepaid credits or subscription fees are non-refundable

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
